1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Skedule application and website (collectively, the "Service") operated by H2Op, doing business as Skedule ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Skedule is an AI-powered scheduling platform that helps you manage your time through intelligent calendar analysis, automated scheduling suggestions, and agent-to-agent negotiation. The Service includes:

  • AI scheduling assistant powered by machine learning
  • Google Calendar integration and synchronization
  • Priority-based time allocation and alignment tracking
  • Agent-to-Agent (A2A) scheduling negotiation
  • Gamification features (achievements, streaks, alignment scores)
  • Decision Energy quotas and usage management

3. Account Registration

To use Skedule, you must create an account using Google Sign-In or Apple Sign-In. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities under your account

You must be at least 13 years old (or 16 in the EEA) to use the Service. By creating an account, you represent that you meet this age requirement.

4. Calendar Access & Permissions

Skedule requires access to your Google Calendar to provide its core functionality. By granting calendar access, you:

  • Authorize Skedule to read, create, modify, and delete calendar events on your behalf
  • Understand that the AI assistant may suggest or execute scheduling changes
  • Acknowledge that A2A negotiations may share limited event details with other users' agents
  • Can revoke calendar access at any time through your Google Account settings

Your Control

You always have the final say. Skedule presents options and recommendations — you decide what happens to your calendar. You can configure your autonomy level from "always ask" to "auto-execute" in your settings.

5. AI-Powered Features

Skedule uses artificial intelligence to analyze your calendar, suggest scheduling decisions, and communicate on your behalf. You acknowledge that:

  • AI suggestions are recommendations, not guaranteed outcomes
  • The AI may occasionally make errors or suboptimal suggestions
  • You are responsible for reviewing and approving scheduling decisions
  • AI-generated content does not constitute professional advice (medical, legal, financial, etc.)
  • The AI processes your messages and calendar data to provide the Service

6. Subscriptions & Payments

6.1 Plans

Skedule offers free and paid subscription plans. Paid plans provide additional features including increased Decision Energy quotas, advanced analytics, and priority support. Plan details and pricing are available in the app and on our website.

6.2 Billing

Payments are processed through Stripe (web) or in-app purchases (Apple App Store, Google Play). By subscribing to a paid plan, you:

  • Authorize recurring charges at the applicable subscription rate
  • Agree that subscriptions auto-renew unless canceled at least 24 hours before the end of the current period
  • Understand that prices may change with at least 30 days advance notice

Apple App Store Subscriptions

Payment will be charged to your Apple ID account at confirmation of purchase. Subscription automatically renews unless it is canceled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscriptions by going to your account settings on the App Store after purchase.

6.3 Cancellation & Refunds

You may cancel your subscription at any time. Upon cancellation:

  • You retain access to paid features until the end of the current billing period
  • Your account reverts to the free plan after the billing period ends
  • Refunds for in-app purchases are handled by Apple or Google per their policies
  • For Stripe payments, refunds are handled on a case-by-case basis — contact support

6.4 Decision Energy

AI scheduling decisions consume Decision Energy, which replenishes weekly based on your plan. Unused Decision Energy does not roll over between periods.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or other users' data
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use automated tools (bots, scrapers) to access the Service beyond the intended API
  • Share your account credentials with others
  • Use the AI assistant to generate harmful, abusive, or illegal content
  • Circumvent usage limits, Decision Energy quotas, or other restrictions
  • Misrepresent your identity or impersonate others

We reserve the right to suspend or terminate accounts that violate these terms.

8. Intellectual Property

8.1 Our Property

The Service, including its design, code, algorithms, AI models, trademarks, and content, is owned by Skedule and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

8.2 Your Content

You retain ownership of your calendar data, preferences, and other content you provide to the Service. By using Skedule, you grant us a limited, non-exclusive license to use your content solely to provide, maintain, and improve the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • AI scheduling suggestions will be accurate or optimal in all circumstances
  • Calendar synchronization will be real-time or conflict-free at all times
  • The Service will be compatible with all devices or platforms

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKEDULE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

You acknowledge that scheduling decisions may have real-world consequences and that you are solely responsible for reviewing and approving any actions taken by the AI assistant.

11. Indemnification

You agree to indemnify and hold harmless Skedule and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third party's rights.

12. Termination

You may delete your account at any time through the app settings or by visiting schedju.com/deleteaccountperrequest. You may also request deletion of specific data at schedju.com/deletedataperrequest. We may suspend or terminate your account if you violate these Terms, upon reasonable notice where practicable.

Upon termination:

  • Your right to use the Service ceases immediately
  • We will delete your personal data within 30 days (subject to legal retention requirements). You may request an export of your data within 30 days of termination by contacting support@schedju.com
  • Sections 8-11 (IP, Disclaimers, Liability, Indemnification) survive termination

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes. Continued use after changes constitutes acceptance.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date. For significant changes, we will also notify you via email or in-app notification.

Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Before initiating any formal proceedings, you agree to contact us at legal@schedju.com and attempt to resolve the dispute informally for at least 30 days. If the dispute cannot be resolved informally, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

16. General Provisions

  • Entire Agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and Skedule
  • Severability: if any provision is found unenforceable, the remaining provisions continue in effect
  • Waiver: failure to enforce any provision does not constitute a waiver of that provision
  • Assignment: you may not assign your rights under these Terms without our consent; we may assign ours freely
